WEBSITE TERMS OF USE

1. ACCEPTANCE OF THESE TERMS

These Website Terms of Use ("Terms") apply to your access to and use of techsystems.ca (the "Site"), which is operated by TECHSYSTEMS INC. ("TECHSYSTEMS INC.", "we", "us", or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. WEBSITE PURPOSE

The Site provides general information about TECHSYSTEMS INC. and allows prospective customers and other visitors to submit project inquiries. Site content is provided for general informational purposes and is not technical, legal, financial, safety, or other professional advice.

3. PROJECT INQUIRIES ARE NOT CONTRACTS

Submitting an inquiry, receiving a reference number, receiving an acknowledgment, or discussing a possible project does not create a contract, confirm acceptance of a project, establish pricing, reserve resources, or guarantee availability or scheduling.

A binding engagement exists only when TECHSYSTEMS INC. and the customer enter into a separate written agreement, statement of work, purchase order, or other project document accepted by authorized representatives of both parties.

4. SERVICE SCOPE

Descriptions of services on the Site are general. The scope, responsibilities, assumptions, exclusions, deliverables, schedule, fees, site requirements, and other project terms will be set out in the applicable project documents.

TECHSYSTEMS INC. may decline an inquiry or proposed engagement at its discretion, subject to applicable law.

5. PROJECT RESOURCES AND THIRD PARTIES

Where appropriate for an approved project purpose, TECHSYSTEMS INC. may coordinate with suppliers, service providers, or subcontractors whose roles are defined for that project. Customer or project information will not be shared with a subcontractor before the subcontractor's role and approved project purpose are defined, appropriate confidentiality and data-handling terms are in place, and the information selected for disclosure is limited to what is reasonably necessary.

The applicable project documents, not this Site, govern responsibility for third-party work, products, and services.

6. ACCURACY AND CHANGES

We seek to keep Site information current, but we do not represent that all content is complete, accurate, or current at all times. We may correct, update, remove, or change Site content without notice.

7. ACCEPTABLE USE

You must not use the Site to break the law; infringe another person's rights; submit malicious code, deceptive information, or unlawful content; interfere with the Site or its security; attempt unauthorized access; scrape or probe the Site in a manner that creates unreasonable load; impersonate another person; or use the Site to send spam.

8. DOCUMENT SUBMISSIONS

Document uploads are currently suspended. Do not send confidential drawings, building-security information, credentials, or other sensitive documents by ordinary email unless TECHSYSTEMS INC. has provided an approved transfer method for the specific project.

9. INTELLECTUAL PROPERTY

Unless otherwise stated, the Site and its original text, graphics, branding, layout, and other content are owned by or licensed to TECHSYSTEMS INC. You may view and print reasonable portions for your own internal evaluation of our services. You may not reproduce, distribute, modify, publicly display, or commercially exploit Site content without prior written permission, except as permitted by law.

10. THIRD-PARTY LINKS AND SERVICES

The Site may link to or depend on third-party services. TECHSYSTEMS INC. does not control third-party websites, policies, availability, or content and is not responsible for them. Your use of a third-party service may be governed by that provider's terms and privacy practices.

11. SITE AVAILABILITY AND SECURITY

We may change, suspend, or discontinue any part of the Site. We do not warrant that the Site will always be available, uninterrupted, error-free, or free from harmful components. You are responsible for using appropriate security practices when accessing the internet.

12. DISCLAIMER AND LIMITATION OF LIABILITY

To the extent permitted by applicable law, the Site and its content are provided on an “as is” and “as available” basis, without representations, warranties, or conditions of any kind, whether express, implied, statutory, or otherwise.

To the extent permitted by applicable law, TECHSYSTEMS INC. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses or damages arising from use of, or inability to use, the Site. Nothing in these Terms excludes or limits liability, remedies, or statutory rights that cannot lawfully be excluded or limited. These Terms do not govern liability for project services, which is addressed only in the applicable written project agreement.

13. PRIVACY

Our collection, use, disclosure, retention, and protection of personal information through the Site are described in our Privacy Policy.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. The revised version will be posted on this page with a new effective date. Your use of the Site on or after that effective date will be governed by the revised Terms.

15. GOVERNING LAW

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws principles. Subject to applicable law and any rights that cannot be waived, the courts of Alberta have non-exclusive jurisdiction over disputes arising from or relating to the Site or these Terms.
